We are seeking a motivated and detail-oriented Associate Attorney specializing in private funds to join our legal team. This role involves handling fund formation, document drafting, investor relations, and compliance matters for a diverse range of private fund clients. The ideal candidate will have a strong foundation in fund-related legal work, excellent analytical skills, and the ability to manage multiple priorities in a dynamic environment.
Key Responsibilities
- Assist with fund formation and document drafting for a range of private fund clients, ensuring compliance with applicable laws and regulations.
- Review and track investor subscription documents to maintain accurate records and support efficient processing.
- Assist with investor onboarding, including coordination of legal documentation and due diligence.
- Manage fund closings, overseeing the preparation and execution of closing documents and timelines.
- Prepare basic funds-related agreements, including transfer agreements, with attention to legal details and client needs.
- Work with clients and investors to process and close secondary transfers, providing legal guidance as required.
- Compile key documents, including master side letters and most favored nation (MFN) clause compendiums, for legal review and distribution.
- Assist with Anti-Money Laundering (AML) and Know Your Customer (KYC) reviews and ensure compliance with relevant standards.
- Assist with ongoing fund operations and compliance work, including monitoring regulatory developments and advising on best practices.
- Perform other tasks as needed to support the firm's private funds practice.
Qualifications
- Juris Doctor (JD) degree from an accredited law school.
- Admission to the New York bar
- 2-5 years of experience in private funds, investment management, or related corporate/transactional law (experience at a law firm or in-house at a fund sponsor is ideal).
- Familiarity with private fund structures, investor documentation, and regulatory compliance (e.g., SEC regulations, AML/KYC).
- Strong drafting, organizational, and problem-solving skills, with the ability to handle complex legal matters.
- Proficiency in legal research tools, Microsoft Office Suite, and document management systems.
- Excellent written and verbal communication skills for interacting with clients, investors, and internal teams.
