We are working with a market-leading insurance underwriter seeking to hire a Reps & Warranties Analyst to join their New York team. This is an excellent opportunity for a law graduate or early-career M&A professional to gain exposure to all facets of the transactional risk and M&A insurance industry in a fast-paced, deal-driven environment.
Responsibilities include:
- Support the underwriting of representations & warranties insurance policies for M&A transactions across a range of industries.
- Review transaction documentation, including purchase agreements, disclosure schedules, and due diligence reports, to identify key legal and commercial risks.
- Assist with the underwriting process by coordinating diligence calls, preparing underwriting materials, and supporting policy drafting.
- Conduct legal and commercial analysis of target companies, transaction structures, and identified risk areas.
- Draft and review ancillary transaction documents, including NDAs, engagement letters, and underwriting memoranda.
- Coordinate transaction timelines and closing processes with brokers, external counsel, and internal stakeholders.
- Support policy issuance and post-binding processes, including documentation management and internal reporting.
About you:
- 2025/2026 Law graduate or candidate with experience in M&A, corporate law, or transactional due diligence.
- Strong interest in M&A, private equity, and transactional risk insurance.
- Excellent analytical, organizational, and communication skills.
- Ability to manage multiple transactions and deadlines in a fast-paced environment.
- Team-oriented mindset with strong attention to detail.
- Creative, adaptable, and solutions-focused approach to problem-solving.
- Self-starter with intellectual curiosity and a strong work ethic.
- Prior exposure to corporate transactions, due diligence, or insurance is advantageous but not required.
