About the Role
We are representing a New York–based insurance brokerage specializing in Representations & Warranties Insurance (RWI) for private equity and strategic M&A transactions. We are seeking a highly motivated RWI Analyst to support deal execution and underwriting across a broad range of transactions.
This role offers early exposure to private equity sponsors, M&A advisors, insurers, and legal counsel, and is ideal for candidates looking to build a career at the intersection of insurance and transactional finance.
Key Responsibilities
- Support the placement of RWI policies for M&A transactions ranging from lower middle market to large-cap deals
- Assist in transaction analysis, including review of purchase agreements, diligence reports, and deal structures
- Prepare underwriting materials and coordinate submissions to insurers
- Participate in calls with private equity clients, legal counsel, and underwriters
- Track deal timelines and support negotiations of policy terms
- Conduct market research and maintain insurer relationships
- Support senior team members throughout the full deal lifecycle
Candidate Profile
- 6–12 months of M&A experience
- Ideal backgrounds: Law firm (corporate/M&A), Accounting firm (transaction advisory, due diligence), Investment banking, Private equity
- Strong understanding of M&A transaction processes and documentation
- Excellent analytical and attention-to-detail skills
- Strong written and verbal communication abilities
- Ability to manage multiple live transactions in a fast-paced environment
- High level of professionalism and client-facing maturity
Preferred Qualifications:
- Exposure to private equity–backed transactions
- Familiarity with purchase agreements and diligence materials
- Interest in insurance, risk transfer, and deal structuring
